1. Introduction

Scope of Services
• We design, manufacture, and supply garments, uniforms, and related textile products for
international businesses, institutions, and government agencies.
• All offers, quotations, and supply agreements are subject to written confirmation and
do not constitute binding obligations until a formal Purchase Order or Supply Agreement
is executed.
4.
Orders and Contracts
• All contracts are concluded in writing, either via signed agreement, purchase order
acknowledgment, or framework agreement.• Prices, lead times, and quantities are binding only after written confirmation.
• Any variation must be agreed in writing.
5.
Intellectual Property & Confidentiality
• All designs, prototypes, patterns, and technical data remain the exclusive property of
RANNG unless otherwise agreed in writing.
• Clients’ logos, trademarks, and proprietary information will only be used with prior
written consent, and will be treated confidentially under strict Non-Disclosure and Non-
Circumvention standards.
• Unauthorized reproduction, distribution, or resale of our materials is strictly prohibited.
6.
Compliance and Certifications
• RANNG adheres to international labor, ethical, and environmental standards,
including:
o SMETA (Sedex Members Ethical Trade Audit) 2-Pillar
o ISO and other international certifications (in progress or applicable)
o Compliance with EU REACH regulations and restrictions on hazardous
substances
• We support clients’ ESG, CSR, and supply-chain compliance obligations.
7.
Anti-Corruption and Trade Compliance
• RANNG maintains a zero-tolerance policy for bribery, corruption, or unfair trade
practices, in line with the UK Bribery Act and US FCPA.
• All exports comply with international trade and customs regulations, including EU
and US export control laws.
8.Payment Terms
• Standard payment terms are agreed contractually (LC, TT, or other secure instruments).
• All amounts must be paid in full, free of deduction or set-off, unless otherwise agreed.
• Late payments accrue interest at [x%] per month in accordance with the Late Payment
Directive (2011/7/EU) for EU clients.

Delivery and Risk
• Delivery terms are based on Incoterms® 2020 (FOB, CIF, DDP etc. as contractually
agreed).
• Risk passes to the client upon delivery to carrier or agreed delivery point.
• Delays caused by customs, inspections, or unforeseen governmental actions are outside
the Company’s liability.

Warranty and Quality Assurance
• RANNG guarantees that supplied products conform to agreed specifications, standards,
and quality assurance protocols.
• Any defects must be notified in writing within [30] days of delivery.
• Our liability is limited to replacement or repair of defective goods; consequential
damages are excluded.
11.
Limitation of Liability
• RANNG is not liable for indirect, incidental, or consequential losses.
• Maximum aggregate liability shall not exceed the value of the relevant order.
12.
Force Majeure• RANNG shall not be liable for delays or failures caused by events beyond its control,
including natural disasters, strikes, pandemics, or governmental restrictions.
13.
Data Protection & GDPR Compliance
• As a data processor for EU-based clients, RANNG complies with GDPR (Regulation
(EU) 2016/679).
• Personal data will only be collected, processed, and stored for legitimate business
purposes and in accordance with Indian IT Act and GDPR requirements.
14.
Governing Law & Jurisdiction
• These Terms are governed by the laws of India, with jurisdiction in Gurugram,
Haryana – India.
• For EU/EEA clients, mandatory consumer and business protection laws of the respective
EU Member State apply where required.
• Disputes shall first be resolved amicably; failing which, arbitration under the Arbitration
and Conciliation Act, 1996 (India) will apply.

Dispute Resolution & ADR
• For European partners, RANNG supports Alternative Dispute Resolution (ADR) and
the EU Online Dispute Resolution (ODR) platform.
• However, final jurisdiction remains India unless otherwise agreed in contract.
16.
Amendments
• RANNG reserves the right to amend these Terms from time to time. The latest version
will always be published on the website.17.
